These Terms of Service ("Terms") govern your use of our website and any quotation, order, purchase or supply of products through the website or with us. The website is operated by Foshan GripPRO Metal Co., LTD., trading as GripPRO ("GripPRO", "we", "us", "our").

By requesting a quote, placing an order, or otherwise using this website, you agree to these Terms.

1. Business Use

This website and our products are supplied to business, trade and resale customers only. Unless we expressly agree otherwise in writing, all orders are business-to-business transactions, and consumer protection legislation applicable to private consumers does not apply. By placing an order you confirm that you are acting in the course of a business.

2. Quotes and Orders

  • Quotes are valid for 30 days unless stated otherwise, and are subject to product availability and confirmation.
  • Prices are quoted in USD unless stated otherwise and exclude freight, insurance, duties, taxes and other charges unless expressly included.
  • A quotation is an invitation to treat. An order becomes binding when we confirm it in writing (order confirmation).
  • Minimum order quantity is from 50 pieces per item unless otherwise agreed. Some products have higher minimums.
  • We may decline or cancel an order where there is an obvious pricing error, suspected fraud, export-control or sanctions concerns, or where the product is unavailable.

3. Payment

Payment terms are as stated in the order confirmation. Samples are payable in advance unless agreed otherwise. We may require full prepayment for first orders, small orders or custom production. All bank charges and currency conversion costs are the customer's responsibility.

4. Samples, Drawings and Custom (OEM/ODM) Work

  • Sample lead time is typically 7–15 days after we receive your specification and any applicable sample fee.
  • Where you supply drawings, samples or specifications, you are responsible for their accuracy and completeness and for holding any necessary rights in them. You grant us a licence to use them to manufacture your order.
  • Custom tooling and moulds: ownership and any buy-back terms are as agreed in writing. Unless agreed otherwise, tooling remains our property and we are not obliged to transfer or release it.
  • You are responsible for ensuring that your branding, packaging and artwork do not infringe third-party rights.

5. Production and Lead Time

Bulk production begins after sample approval and receipt of the agreed deposit, unless agreed otherwise in writing. Bulk lead time is typically 25 days. It is an estimate and not a guaranteed date. Lead times may be affected by material availability, order quantity, customisation, public holidays and force majeure.

6. Delivery, Risk and Title

  • The applicable Incoterms 2020 rule and place of delivery are as stated in the order confirmation.
  • Risk in the goods passes in accordance with the agreed Incoterm. Title passes only when we have received payment in full.
  • Where you arrange collection or use your own freight forwarder, risk passes when the goods are made available for collection.
  • Delivery dates are estimates. We are not liable for delays outside our reasonable control.

7. Inspection and Claims

  • You must inspect goods promptly on receipt and notify us in writing of any shortage, damage or visible defect within 7 days of delivery.
  • Claims for defects not apparent on reasonable inspection must be notified within 30 days of delivery.
  • Claims must include photographs, the batch or order reference and, where we request it, return of a sample.

8. Warranty

  • We warrant that our products will materially conform to the agreed specification and be free from defects in material and workmanship for 12 months from delivery, under normal use and installation.
  • PVD decorative finishes carry our 5-Year Colour Warranty against colour change, subject to normal use, correct maintenance and documented purchase.
  • The warranty does not cover: normal wear and tear; misuse; improper installation or maintenance; exposure to corrosive or abrasive chemicals; damage in transit; or goods modified by you or a third party.
  • Remedy: at our option, we will replace or repair defective goods or issue a credit note. This is your exclusive remedy.

9. Returns

Returns are handled in accordance with our Refund Policy.

10. Intellectual Property

All website content, trademarks, product photography and technical materials are owned by or licensed to us and may not be copied or reused without our written permission. Customer branding remains the customer's property.

11. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, including loss of profit, loss of business or loss of goodwill. Our total aggregate liability in connection with any order is limited to the amount paid for the goods giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

12. Force Majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including natural events, epidemics, war, sanctions, port closures, customs delays, transport disruption, and power or material shortages.

13. Governing Law and Disputes

These Terms are governed by the laws of the People's Republic of China. The parties submit to the exclusive jurisdiction of the courts of Foshan, Guangdong, China, unless otherwise agreed in writing. Before commencing proceedings, the parties will attempt in good faith to resolve any dispute through negotiation.

14. Changes to These Terms

We may amend these Terms. The version in force at the time of your order applies to that order.
